Why Próspera?

Próspera ZEDE offers one of the most straightforward tax residency structures available anywhere in the world, and The Jerz Group manages the entire process for you. From your first document submission to your Tax Residency Certificate, we handle every step so you can focus on your business, not the paperwork.

Flat $5,000 annual tax: Regardless of your income level, pay a single $5,000 fee per year to cover all personal income taxes. Earn $100K or $1M: same flat rate. We coordinate the payment and ensure your certificate is issued correctly.

Minimal physical presence: One 7-day visit to Roatán within your first 12 months. That's it. We plan the logistics, brief you on what to expect, and make sure the visit satisfies the requirement. No relocation, no extended stays.

Pay in crypto: Próspera accepts cryptocurrency for the annual tax payment. We coordinate the payment process directly: Bitcoin and digital asset integration is built into the zone's infrastructure.

Common-law legal system: Próspera operates under its own legal framework, separate from Honduras. Dispute resolution, contracts, and governance are designed for modern international business, not legacy bureaucracy.

Genuine economic substance: The program requires a registered business entity within 60 days of approval. We handle the entity formation as part of our service. This is real tax residency with real substance, not a flag-of-convenience scheme.

Note for U.S. citizens: The $5,000 lump-sum program excludes U.S. citizens due to America's citizenship-based taxation. Americans can still use Próspera for business formation and e-residency, but not the flat-tax program.

Who This Is For

  • Digital nomads without a tax home who have legally exited their home country's tax system and need compliant residency somewhere.

  • Remote workers and consultants earning foreign income who want a simple, predictable tax structure.

  • Entrepreneurs with location-independent income seeking the lowest-friction tax residency available.

  • Crypto-native founders who want to pay taxes in Bitcoin and operate in a jurisdiction that understands digital assets.

  • Non-US citizens who want to avoid complex tax systems and prefer a flat annual fee regardless of income.

The Process

Our team manages every stage of the process. Your role is simple: provide your documents, complete your 7-day visit, and let us handle the rest.

Step 1: Onboarding and Document Collection

We begin with a structured onboarding call to understand your situation and collect the documentation we need. We review everything before submission to ensure it's complete and accurate: no back-and-forth with the zone on your behalf.

Step 2: Application and KYC Submission

We prepare and submit your full application package, including all KYC documentation. Everything is handled remotely at this stage. You won't need to travel or navigate the platform yourself: we do it for you.

Step 3: E-Residency Activation

Once approved, we activate your e-Residency on Próspera's digital governance platform and set up your digital identity within the zone. We walk you through what you have access to and what it means for your status.

Step 4: Entity Formation

We register your business entity in Próspera's Entity Registry within the required 60-day window. This establishes the economic substance your residency requires. We handle the filings, structure selection, and registry coordination entirely.

Step 5: Tax Payment Coordination

We coordinate your $5,000 annual lump-sum tax payment, including crypto payment logistics if preferred, and ensure Próspera issues your official Tax Residency Certificate promptly.

Step 6: Visit Planning and Logistics

We brief you on your required 7-day visit to Roatán and assist with logistics and timing. This is your only required physical presence, and we make sure it's planned properly so the requirement is cleanly satisfied.

Step 7: Ongoing Compliance

We manage your annual renewal cycle: entity maintenance, tax payment coordination, and any compliance requirements, so your status stays current without you having to track deadlines.

Requirements

Próspera's program has clear eligibility requirements. We verify all of these during onboarding so there are no surprises mid-process.

No existing tax residency: You must pledge that you have no tax residency elsewhere and will not establish one during the election period. We advise you on how this interacts with your current situation before you commit.

Business entity: A registered business entity in Próspera's Entity Registry is required within 60 days of approval. We handle this as part of our service.

Annual visit: A minimum 7-day visit to Roatán, Honduras must be completed within 12 months of enrollment. We coordinate the logistics.

Non-US citizenship: The lump-sum flat-tax program excludes U.S. citizens due to America's citizenship-based taxation. U.S. citizens can still engage with Próspera for business formation and e-residency purposes, but not this specific program.

KYC documentation: Standard identity verification and source of funds documentation is required. We review your documents before submission to ensure everything is in order.

What's Included

This is a fully managed, end-to-end service. Here's exactly what The Jerz Group handles on your behalf:

  • Onboarding consultation: We assess your situation, confirm eligibility, and map out the process before anything is filed.

  • Document review and preparation: We review your KYC documentation, identify gaps, and prepare your complete application package for submission.

  • Application filing: We submit everything directly. You don't need to interact with Próspera's systems or administration.

  • E-Residency setup: Full activation and configuration of your account on Próspera's digital governance platform.

  • Entity formation: We register your business entity in Próspera's Entity Registry, handling all filings and structure decisions within the required 60-day window.

  • Tax payment coordination: We manage the $5,000 annual payment process, including crypto payment logistics, and obtain your official Tax Residency Certificate.

  • Visit planning: We brief you on your required 7-day Roatán visit and assist with timing and logistics so the requirement is properly satisfied.

  • Ongoing compliance management: Annual renewal coordination, entity maintenance, and deadline tracking: handled by us, year after year.

You provide your documents. You show up for your 7-day visit. We take care of everything else.

Important Notes

Not for US citizens: The $5,000 lump-sum program specifically excludes US citizens because the US taxes citizens on worldwide income regardless of residence.

Annual renewal: The $5,000 payment is annual. Maintain your entity and complete renewal each year to keep status.

Local income: If your Próspera-sourced income exceeds $5,000, the lump-sum applies as a credit against total tax liability.

Other taxes: Value-added tax, property taxes, and other fees still apply separately from the income tax lump-sum.

ZEDE legal status: Próspera operates as a Zone for Employment and Economic Development under Honduras's constitutional framework with substantial autonomy.
